Welcome to Genpire. These Terms of Service ("Terms") govern your access to and use of the Genpire platform, website, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

Genpire is an AI-powered product design platform that enables users to:

• Generate product designs and visualizations using artificial intelligence
• Create technical specifications and tech packs for manufacturing
• Edit and refine AI-generated product images
• Export designs and specifications in various formats
• Collaborate on product development workflows

The Service utilizes third-party artificial intelligence technologies to generate content. AI-generated content may not always be accurate, complete, or suitable for your specific needs.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Not have been previously suspended or removed from the Service

4. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the confidentiality and security of your login credentials
• Immediately notify us of any unauthorized use of your account

Account Non-Transferability: Your account is personal to you and may not be transferred, sold, or assigned to any other person or entity. Any attempt to transfer your account will result in immediate termination.

5. Payment Terms and Refund Policy

The Service operates on a credit-based system. By purchasing credits or subscribing to the Service, you agree to the following:

• No Refunds: All sales of credits, subscriptions, and services are final and non-refundable
• Credit Validity: Purchased credits do not expire
• Price Changes: We reserve the right to change pricing with 30 days' notice to existing subscribers
• Payment Processing: Payments are processed through secure third-party payment processors (Stripe, PayPal)
• Failed Payments: We may suspend your account if payment fails or is declined
• Taxes: You are responsible for any applicable taxes on your purchases

Chargebacks: If you initiate a chargeback or payment dispute, we reserve the right to immediately suspend your account and pursue collection of any amounts owed.

6. Intellectual Property Rights

6.1 Your Content

You retain ownership of the original content, ideas, and materials you upload to the Service ("Your Content"). By uploading Your Content, you grant Genpire a worldwide, non-exclusive, royalty-free license to use, process, and store Your Content solely to provide and improve the Service.

6.2 AI-Generated Content

Subject to your compliance with these Terms and payment of applicable fees, you own the AI-generated content created through your use of the Service. However:

• AI-generated content is provided "as-is" without warranties of originality or non-infringement
• You are solely responsible for reviewing AI-generated content before use
• Similar content may be generated for other users due to the nature of AI systems
• You are responsible for ensuring your use complies with applicable laws

6.3 Genpire's Intellectual Property

The Service, including its software, algorithms, user interface, trademarks, and documentation, is owned by Genpire and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code or underlying AI models.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree NOT to use the Service to:

• Design, create, or explore weapons, explosives, or dangerous materials
• Create content that is illegal, harmful, threatening, abusive, or hateful
• Infringe upon the intellectual property rights of others
• Generate content depicting minors in any inappropriate context
• Create counterfeit products or designs that infringe trademarks
• Attempt to bypass content filters or safety measures
• Use automated systems (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or servers
• Share your account credentials with others
• Resell or redistribute the Service without authorization

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund and may be reported to appropriate authorities.

8. Artificial Intelligence Disclosure

The Service uses artificial intelligence technologies provided by third parties, including but not limited to Google (Gemini), OpenAI, and Anthropic. By using the Service, you acknowledge and agree:

• AI Limitations: AI-generated content may contain errors, inaccuracies, or inconsistencies
• No Guarantee: We do not guarantee the accuracy, quality, or suitability of AI-generated content
• Human Review: You should review all AI-generated content before use in production or manufacturing
• Data Processing: Your inputs (text, images) are processed by AI systems to generate outputs
• No Training: Your content is not used to train AI models without your explicit consent
• Third-Party Terms: AI providers have their own terms and acceptable use policies that apply

AI Content Labeling: Content generated by AI through our Service may be identified as AI-generated. You agree not to misrepresent AI-generated content as solely human-created where such disclosure is required by law.

9. Third-Party Services

The Service integrates with and relies upon third-party services, including:

• Payment Processing: Stripe, PayPal
• AI Services: Google Gemini, OpenAI, Anthropic
• Authentication: Supabase
• Analytics: Various analytics providers

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or data processing practices of third parties.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Service Availability and Modifications

Without limiting the foregoing, we do not warrant that:

• AI-generated content will be accurate, complete, or error-free
• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Any defects in the Service will be corrected
• AI-generated designs will not infringe third-party rights

13. Limitation of Liability

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Genpire, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your use of AI-generated content.

15. Termination

By You: You may terminate your account at any time by contacting us or using account settings. Termination does not entitle you to any refund of unused credits.

By Us: We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Effect of Termination: Upon termination, your right to use the Service will cease immediately. We may delete your account data after a reasonable retention period. Provisions that by their nature should survive termination shall survive.

16. Dispute Resolution

Informal Resolution: Before filing any formal legal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for any disputes not subject to arbitration.

18. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

19. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Genpire regarding the Service and supersede all prior agreements.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder. We may assign these Terms without restriction.
